Muña clarifies board meeting issue

The Commonwealth Healthcare Corp. board has not had any meetings since May last year.

CHCC chief executive officer Esther Muña clarified, though, that even though meetings have not been held, she had communicated with board members, especially board chair Joaquin Torres.

Muna said that Public Law 16-51 states that «the CEO [has the power] to convene from time to time as the CEO determines necessary and appropriate meetings of the board.”

“Torres is definitely free to request that I convene a meeting but I haven›t been requested that at all,” Muña said.

“We acknowledge that an effective advisory board can be helpful to the organization. An advisory board, however, cannot be effective if they are micromanaging or demanding they get and keep an office so they become part of management. We can certainly make this work but I believe it begins with the respect that there is a line between management and the board and we all need to respect that,” Muña said.
